Synchronica Gets Funding: Transaction Assessment

On July 31, 2008, Synchronica announced that it had secured an additional round of £5.1 million ($9.4 million) of funding. This report looks at the transaction and its implications. It is addressed at two constituencies:

  • It helps CEOs and business development staff understand how to optimize stock price and design successful fund-raising strategies through understanding the experience of others. It also helps them develop the cost justification for investors.
  • It helps investors determine whether the effect of the funding is constructive or not, from the investment standpoint.

Topics include:

  • Synchronica’s background
  • Reason for the funding
  • Transaction details, in particular the amount raised and proportion of equity given in return
  • Funding history
  • Survey of comparable transactions, including price paid
  • Revenue and income/loss history
  • Sales arguments given to investors

Much of the information presented here is not publicly available. Our off-the-record sources in reports such as these include stockholders, present and past company employees, present and past board members, and people who have participated in confidential meetings with the vendors concerned.
